Terms of Service

These are the terms you agree to by using contexthints.com, our free tools, or by entering an engagement with Context Hints Labs Inc. We have done our best to write them in a way that an operator can actually read in one sitting. If something is unclear, write to legal@contexthints.com and we will tell you what it means.

1. Acceptance

By accessing contexthints.com, using any of our free tools, booking a discovery call, or signing an order form with Context Hints Labs Inc. ("Context Hints," "we," "our"), you accept these Terms of Service. If you do not accept them, do not use the service.

If you are accepting on behalf of a company, you represent that you have authority to bind that company, and "you" then refers to that company.

2. The service

The "Service" means, collectively: (a) the contexthints.com website and any subdomains; (b) the free tools we publish from time to time, including the Reach Calculator, Context Hint Generator, and UTM Generator; (c) any advisory, consulting, or fractional-CMO engagement we agree in writing to perform for you; and (d) any future paid product we make available, subject to a separate order form.

The Service is provided in beta in many places. Features change. We will tell you when material changes affect anything you are paying for.

3. Accounts

You do not need an account to read the site or use the free tools. If a future product requires an account, you agree to provide accurate information, to keep your credentials secure, to be responsible for activity that occurs under your account, and to notify us promptly if you suspect unauthorized access.

4. Acceptable use

You agree to use the Service only as permitted by law and by our Acceptable Use Policy, which is incorporated into these Terms by reference. The short version: do not abuse the Service, do not use it to harm others, and do not use it to do anything illegal. We may suspend or terminate access for material violations.

5. Fees

The website and the free tools are free to use. Advisory engagements and any future paid product are billed according to a separately signed order form, statement of work, or invoice. Unless that document says otherwise:

6. Intellectual property

The Service, including all underlying software, branding, written content, illustrations, design system, and documentation, is owned by Context Hints Labs Inc. or its licensors and is protected by copyright, trademark, and other applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose.

No rights are granted by implication, estoppel, or otherwise. You may not copy, modify, distribute, reverse engineer, scrape at industrial scale, or build a competing product from our content.

The free tools are intended to be used as designed. We are happy to grant additional licensing on request for use cases that fall outside this — for example, white-labeling, redistribution, or embedding — write to legal@contexthints.com.

7. Customer content

"Customer Content" means anything you submit to or through the Service: text you type into a tool, content of a discovery call, the materials you share for an advisory engagement.

8. Third-party services

The Service depends on, and sometimes links to, third-party services — for example, Calendly for scheduling, payment processors for billing, and Vercel for hosting. Your use of those services is subject to their own terms. We do not control them and we are not responsible for them.

9. Confidentiality

If you and Context Hints exchange information marked as confidential, or that a reasonable person would understand to be confidential, both parties will protect it with at least the same care they protect their own confidential information and will not use or disclose it except as needed to perform under these Terms.

Confidentiality obligations survive termination for three years, except trade secrets which survive indefinitely under applicable law.

10. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, that errors will be corrected, that the Service will be free of harmful components, or that the results obtainable from the use of the Service will meet your requirements. Estimates produced by the free tools are directional and not a guarantee of any commercial outcome.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business opportunity, goodwill, anticipated savings, or data, arising out of or relating to these Terms or the Service, even if the other party has been advised of the possibility of such damages.

Each party's aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid to Context Hints in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — for example, liability for death or personal injury caused by negligence, for fraud, or for any other liability that applicable law treats as non-excludable.

12. Indemnification

You agree to defend, indemnify, and hold harmless Context Hints, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Content you submit; (c) your breach of any representation, warranty, or covenant in these Terms; or (d) your violation of any third-party right, including intellectual property or privacy rights.

13. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate any paid engagement for convenience by giving the notice specified in the relevant order form, and either party may terminate immediately for material uncured breach by the other.

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including ownership, confidentiality, disclaimers, limitations of liability, indemnities, and governing law — survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to that jurisdiction.

If any dispute cannot be resolved informally within thirty days of written notice, either party may file suit in the agreed forum. The prevailing party in any action is entitled to recover its reasonable legal fees and costs.

15. Changes

We may update these Terms from time to time. When we make a material change, we will update the "Effective" date at the top and, if you are a customer, notify you by email at least fifteen days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
